Agreement and Terms

THIS AGREEMENT CONTAINS PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE ANY DISPUTE WITH US THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT BY A LAWSUIT OR RESORT TO COURT PROCESS; SEE THE SECTIONS ENTITLED “LIMITATION OF LIABILITY” AND “BINDING ARBITRATION & CLASS ACTION WAIVER” FOR DETAILS.

Kids Feeding Wellness LLC (“Kids Feeding Wellness,” “we,” “us,” or “our”) owns and operates the website located at www.kidsfeedingwellness.com (the “Website”) and any related products, services, communications, booking tools, digital resources, workshops, educational offerings, and other technology platforms we may operate from time to time (collectively, the “Services”).

These Terms & Conditions (“Terms”) govern your access to and use of the Services, including all content, materials, downloads, workshops, consultations, appointment scheduling, communications (including SMS reminders), and any other products or services offered by Kids Feeding Wellness.

Please read these Terms carefully before using the Services. In these Terms, “you” and “your” refer to the person accessing or using the Services. If you are accepting these Terms on behalf of another person (including a minor child as their parent or legal guardian), you represent and warrant that you have legal authority to do so and you agree to these Terms on their behalf.

Acceptance of Terms

Your access to and use of the Services is subject to these Terms, our Privacy Policy, and all applicable laws and regulations. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to access or use the Services.

Changes to the Services and These Terms

The Services may evolve over time. We reserve the right to modify, suspend, or discontinue any portion of the Services at any time. We may also revise these Terms in our sole discretion. Any changes are effective upon posting updated Terms on the Website. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

1. Scope of Services and Important Disclosures

Educational Information; Not Medical Advice

Unless you have formally entered into a written agreement for clinical services where applicable, content on the Website and in our educational materials is provided for general educational purposes and is not medical advice. The Services are not a substitute for evaluation, diagnosis, or treatment by a physician or other qualified healthcare professional. Always seek the advice of your child’s pediatrician or other qualified provider with questions about a medical condition.

No Clinician–Patient Relationship Through Website Use

Using the Website, downloading materials, subscribing to emails, or contacting us does not create a clinician–patient relationship. A clinician–patient relationship (where applicable) is established only if and when you complete required intake steps and sign applicable agreements and consent documents, and Kids Feeding Wellness confirms services in writing.

Geographic Availability (New York vs. Worldwide)

  • Parent Coaching / Educational Services: Available worldwide, where permitted by law.

  • Clinical Feeding Therapy: Available only for families who reside in New York State and may be provided in-person or virtually, as permitted by New York law and professional regulations.

We reserve the right to decline or discontinue Services if we determine that services are not appropriate, not permitted based on location, or outside our scope.

2. Eligibility and Age Requirements

The Services provided by Kids Feeding Wellness LLC include parent-focused education, coaching, tools, and resources, as well as services designed to support children’s feeding development. When services relate to a child, they must be accessed, managed, and authorized by a parent or legal guardian.

To use the Services, make purchases, book appointments, or submit forms, you must be at least 18 years old. By accessing or using the Services on behalf of a child, you represent and warrant that you are the child’s parent or legal guardian and that you have full legal authority to provide information, consent to services, and make decisions on the child’s behalf.

Kids Feeding Wellness does not provide services directly to minors without the involvement and consent of a parent or legal guardian.

3. Registration, Accounts, and Accuracy of Information

Some Services may require registration and use of third-party platforms (such as SimplePractice and Acuity) to complete intake forms, manage appointments, or access certain services. You agree to provide accurate, current, and complete information and to update information as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

4. Scheduling, Fees, Payments, and Travel Charges

Payments and Securing Appointments

Certain services (including consultations and clinical appointments) must be paid in full upfront to secure your spot. By booking and paying, you are reserving time specifically for your family.

Rescheduling and No-Reimbursement Policy

Sessions may be rescheduled, but are not reimbursed/refunded. If a family does not show, or cancels without attending, Kids Feeding Wellness may, at its discretion, permit one (1) reschedule. Additional reschedules may be denied and/or require a new booking and payment.

Workshops

Workshops may include a refund window or the option to transfer to a future date, depending on the specific workshop terms posted at the time of purchase/registration. Workshop-specific policies, if posted, control.

Digital Downloads: Final Sale

All digital downloads and digital products are final sale and non-refundable.

Travel Fees (In-Home Services)

For in-home services in New York, a travel fee may apply. Travel fees are calculated at $20 per 30 minutes of travel time and are assessed as round-trip travel (from the clinician to the family and back). By booking an in-home service, you agree to the applicable travel charges.

We reserve the right to update fees, travel rates, and policies, and will disclose applicable charges prior to service delivery.

5. Virtual Sessions and Third-Party Video Platforms

Certain Services may be provided virtually using third-party video conferencing platforms, such as Zoom, or similar services. These platforms are not owned or controlled by Kids Feeding Wellness LLC.

By participating in virtual sessions, you acknowledge and agree that:

  • Your participation is subject to the terms and privacy practices of the video platform used

  • While reasonable efforts are made to use secure and reputable platforms, no online communication method is completely secure

  • Technical issues, interruptions, or service limitations may occur and are outside of our control

You are responsible for ensuring you have appropriate technology, internet access, and a private environment for virtual sessions.

6. SMS/Text Message Appointment Reminders

Kids Feeding Wellness LLC and service providers acting on our behalf (including Acuity) may send SMS text messages to the mobile number you provide for transactional and operational purposes only, such as appointment confirmations, reminders, scheduling updates, and time-sensitive service-related communications.

By providing your mobile phone number and/or initiating communication with us via text message, you consent to receive SMS communications related to your use of the Services, unless you notify us in writing that you do not wish to receive text messages.

Message and data rates may apply depending on your mobile carrier.

You may opt out of SMS messages at any time by replying STOP (or following the opt-out instructions included in the message) or by notifying us in writing. We do not send marketing or promotional text messages.

Opting out of SMS communications may limit your ability to receive appointment reminders or scheduling updates but does not prevent you from receiving Services through other communication methods.

7. Intellectual Property; Permitted Use of Materials

All Website content and all materials provided through the Services—including guides, handouts, workshops, videos, downloads, worksheets, text, images, and branding—are owned by Kids Feeding Wellness or its licensors and are protected by intellectual property laws.

Personal Use Only. Unless explicitly permitted in writing:

  • Materials are for personal use only

  • You may not copy, reproduce, distribute, share, resell, sublicense, post online, or otherwise exploit any part of the materials

  • You may not record workshops (audio or video) without prior written permission

  • You may not remove copyright, trademark, or proprietary notices

Clinician Use / Licensing. At this time, clinician/professional use of Kids Feeding Wellness materials is not permitted without a written license agreement from Kids Feeding Wellness. If you want professional licensing options, contact us at hello@kidsfeedingwellness.com.

8. Prohibited Conduct

You agree not to:

  • Use the Services for unlawful, harmful, fraudulent, or abusive purposes

  • Attempt to gain unauthorized access to accounts, systems, or data

  • Interfere with or disrupt the Services or servers

  • Upload or transmit malware or harmful code

  • Misrepresent your identity or submit false information

  • Use scraping, robots, or automated methods to access the Services without permission

We reserve the right to take lawful action in response to suspected violations, including suspension or termination of access.

9. Third-Party Tools and Links

The Services may reference or link to third-party websites or services (e.g., Stripe, Acuity, SimplePractice, QuickBooks, Google). We do not control third-party services and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

10. Reviews and Testimonials

We may display or reference publicly available reviews (including Google Reviews). Any such reviews are public and reflect the reviewer’s personal opinion. We do not claim that any individual will experience similar results.

11. Termination of Access

We may suspend or terminate your access to any part of the Services at any time, with or without notice, if we believe you have violated these Terms, misused materials, engaged in abusive conduct, or failed to pay required fees.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIDS FEEDING WELLNESS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee outcomes. Progress and results vary based on many factors, including the child’s medical history, developmental profile, and family circumstances.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL KIDS FEEDING WELLNESS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(a) $100, OR
(b) THE AMOUNT YOU PAID TO KIDS FEEDING WELLNESS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Time Limit to Bring Claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE THE CLAIM AROSE. OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.

15. Indemnification

You agree to defend, indemnify, and hold harmless Kids Feeding Wellness LLC and its officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services, (b) your violation of these Terms, or (c) your misuse of any materials or content.

16. Binding Arbitration & Class Action Waiver

Kids Feeding Wellness LLC

Arbitration Requirement

The parties agree that any dispute, claim, or controversy arising out of or relating to services provided by Kids Feeding Wellness LLC, including but not limited to clinical feeding therapy, parent coaching, educational services, digital products, fees, scheduling, cancellations, or contract interpretation, shall be resolved exclusively through binding arbitration, except as expressly stated below.

No Class Actions or Representative Claims

The parties agree that:

  • There is no right or authority for any claim to be arbitrated on a class-action basis

  • There is no right or authority for any claim to be brought in a representative capacity or as a private attorney general

  • There is no right or authority for any arbitration to be joined, consolidated, or combined with any other arbitration

  • All claims must be brought individually and solely on behalf of the individual party seeking relief.

Claims Excluded From Arbitration

This arbitration agreement does not apply to:

  • Licensing or professional complaints

  • Ethical concerns

  • Child or patient safety matters

  • Emergency issues

  • Mandatory or voluntary reports to licensing boards, regulatory agencies, or governmental authorities

Nothing in this agreement limits a client’s right to file complaints or reports with appropriate regulatory or licensing bodies.

Severability if Class Waiver Is Unenforceable

If a court of competent jurisdiction determines that applicable law precludes enforcement of the class action or representative action limitations set forth in this Agreement with respect to a specific claim, then that claim only shall be severed from arbitration and may be brought in a state or federal court located in the State of New York. All other claims shall remain subject to binding arbitration.

Governing Law and Venue

These Terms, including this arbitration agreement, shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles. Kids Feeding Wellness LLC is operated from offices within New York State. Individuals who access services from outside New York do so on their own initiative and are responsible for compliance with applicable local laws.

Acknowledgment

By using the services of Kids Feeding Wellness LLC, you acknowledge and agree that:

  • You are waiving the right to a trial by judge or jury for covered disputes

  • You are waiving the right to participate in class or representative actions

  • Arbitration is the exclusive forum for resolving covered disputes

17. Miscellaneous

  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

  • No Waiver: Our failure to enforce any provision is not a waiver.

  • Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets.
